During the fiscal years ended December 31, 2025, 2024, and 2023, no dividends\nor distribution have been made to date by our subsidiaries. We anticipate that we will retain any earnings to support operations and to\nfinance the growth and development of our business. Therefore, we do not expect to pay cash dividends in the foreseeable future.\n\n \n\nOur board of directors has complete discretion\non whether to distribute dividends, subject to applicable laws. In addition, our shareholders may by ordinary resolution declare a dividend.\nUnder Cayman Islands law, a Cayman Islands company may pay a dividend either out of profit or share premium account, provided that in\nno circumstances may a dividend be paid if the dividend payment would result in the company being unable to pay its debts as they fall\ndue in the ordinary course of business. Even if our board of directors decides to pay dividends, the form, frequency, and amount will\ndepend upon our future operations and earnings, capital requirements and surplus, general financial condition, contractual restrictions,\nand other factors that the board of directors may deem relevant. Cash dividends on our ordinary shares, if any, will be paid in U.S.\ndollars.\n\n \n\nThe laws and regulations of the PRC on currency\nconversion control do not currently have any material impact on the transfer of cash from TW Cayman to TW HK from TW HK to TW Cayman.\nThere are no restrictions or limitations under the laws of Hong Kong imposed on the conversion of HK dollar into foreign currencies and\nthe remittance of currencies out of Hong Kong, nor is there any restriction on any foreign exchange to transfer cash between TW Cayman\nand its subsidiaries, across borders and to U.S. investors, nor there is any restrictions and limitations to distribute earnings from\nthe subsidiaries, to TW Cayman and U.S. investors and amounts owed.  \n\n \n\n78\n\n \n\n \n\n**8.B. Significant Changes**\n\n \n\nExcept as otherwise disclosed in this report,\nwe have not experienced any significant changes since the date of our audited consolidated financial statements included herein."}
