(“Two Harbors”) entered into a Second Amendment to the Agreement and Plan of Merger (the “Second Amendment”),\nby and among Two Harbors, CrossCountry Intermediate Holdco, LLC (“CCM”) and CrossCountry Merger Corp., a wholly owned subsidiary\nof CCM (“Merger Sub”), to amend the terms of the previously disclosed Agreement and Plan of Merger, dated March 27, 2026\n(the “Original CCM Merger Agreement”), as amended by the First Amendment to the Agreement and Plan of Merger, dated April\n28, 2026 (the “First Amendment”), by and among Two Harbors, CCM and Merger Sub (the Original CCM Merger Agreement, as amended\nby the First Amendment and the Second Amendment, the “Amended CCM Merger Agreement”).\n\n \n\nThe Second Amendment, among\nother things, provides that, at the effective time of the merger, each outstanding share of Two Harbors common stock, par value $0.01\nper share (“TWO Common Stock”), will be converted into the right to receive an amount in cash equal to $12.00 per share, an\nincrease from the $11.30 per share consideration under the First Amendment.\n\n \n\nThe Second Amendment also\nprovides that the termination fee payable under certain circumstances by Two Harbors to CCM is increased from $50.0 million to $51.0 million.\n\n \n\nAdditionally, the Second\nAmendment updates certain financing provisions in the Original CCM Merger Agreement to reference the $1.4 billion unsecured financing\ncommitment that CCM recently obtained in connection with the transaction and adds customary financing cooperation covenants.\n\n \n\nThe Second Amendment has\nbeen unanimously approved by the Board of Directors of Two Harbors, which has reaffirmed its recommendation that Two Harbors common stockholders\napprove the merger and the other transactions contemplated by the Amended CCM Merger Agreement. Parent confirms that it is not a condition to the Closing or any of its other\nobligations under this Agreement that Parent or Merger Sub obtain financing for or in connection\nwith the Transactions.\n\n \n\n(b)In furtherance of the foregoing, prior\nto the date of this Agreement, Parent has delivered to the Company true and correct copies\nof (1) a fully executed debt commitment letter, dated as of March 27, 2026 (including\nall exhibits, schedules, annexes and amendments thereto, the &ldquo;**Secured Debt Commitment\nLetter**&rdquo;), and (2) a fully executed bridge facility commitment letter, dated\nas of May 5, 2026, by and between Citigroup Global Markets Inc. and Parent (including\nall exhibits, schedules, annexes and amendments thereto, the &ldquo;**Bridge Commitment\nLetter**&rdquo; and, together with the Secured Debt Commitment Letter, the &ldquo;**Debt\nCommitment Letters**&rdquo;), and the fee letters referred to in the Debt Commitment Letters\n(collectively, the &ldquo;**Debt Financing Fee Letters**&rdquo;) from the Financing Sources\nnamed therein, pursuant to which those Financing Sources (together with any additional Financing\nSources appointed pursuant to the terms of the Debt Commitment Letters) have committed, subject\nonly to the terms and conditions set forth therein, to provide to Parent or a Subsidiary\nof Parent the amounts of debt financing as described therein (collectively, the &ldquo;**Financings**&rdquo;).\nThe Debt Commitment Letters and Debt Financing Fee Letters may be redacted in a customary\nfashion as to economic terms and other commercially sensitive numbers and provisions specified\ntherein, none of which could adversely affect the availability, conditionality, enforceability\nor amount of the Financings contemplated thereby. Parent represents and warrants that (A) the\nFinancings are intended to be used, among other things, to fund the Transactions, including\nthe Merger, and (B) the Definitive Debt Agreements to be executed and delivered pursuant\nto Schedule 6.20(b) of the Parent Disclosure Letter will permit the use of proceeds\nthereunder to pay the Required Amounts.\n\n \n\n \n\n \n\n \n\n(c)Except as expressly set forth in the\nDebt Commitment Letters, there are no conditions precedent to the obligations of the Financing\nSources to fund the full amount contemplated by the Debt Commitment Letters and no contingencies\nthat would permit the Financing Sources to reduce the aggregate amount of the Financings\nbelow the amount necessary, together with other financial resources available to Parent,\nto consummate the Transactions and pay the Required Amounts, including any condition or other\ncontingency relating to the amount. There are no side letters, understandings or other agreements,\ncontracts or other arrangements of any kind (other than the Debt Financing Fee Letters) that\ncould affect the conditions precedent to the availability of the proceeds of the Financings\ncontemplated by the Debt Commitment Letters at or prior to Closing. As of the date of this\nAgreement, each of the Debt Commitment Letters has been duly executed and delivered by, and\nis a legal, valid and binding obligation of Parent or a Subsidiary of Parent and, to the\nKnowledge of Parent, the other parties thereto (except as such enforcement may be subject\nto bankruptcy and other similar Law and by general equitable principles). As of the date\nof this Agreement, each of the Debt Commitment Letters is in full force and effect against\nParent and, to the Knowledge of Parent, against each other party thereto and, as of the date\nof this Agreement, has not been withdrawn, rescinded, terminated or otherwise amended or\nmodified, and, assuming the satisfaction of the conditions set forth in Article VII,\nno such withdrawal, rescission, termination, amendment or modification is currently contemplated\nthat would reasonably be expected to make the Financing Sources less likely to fund the Financings\nin the amounts necessary, together with other financial resources available to Parent, to\nconsummate the Transactions and pay the Required Amounts. All commitment and other fees required\nto be paid under the Debt Commitment Letters and Debt Financing Fee Letters on or before\nthe date of this Agreement have been fully paid, and Parent will pay in full any amounts\ndue on or before the Closing Date. The aggregate proceeds of the Financings (including any\nAlternate Financing), when funded in accordance with, and subject to, the terms and conditions\nof the Debt Commitment Letters (including the Definitive Debt Agreements to be executed pursuant\nthereto) together with any other immediately available sources available to Parent, will\nbe sufficient to enable Parent and Merger Sub to pay in cash the Required Amounts. In no\nevent shall receipt by, or the availability of any funds or financing (including the Financings)\nto, the Parent, Merger Sub or any of their Affiliates be or be deemed, construed or alleged\nto be a condition precedent to any obligations of Parent and Merger Sub under this Agreement.\n\n \n\n7.The reference to &ldquo;Financing&rdquo; in Section 6.18 of\nthe Merger Agreement is hereby amended to be &ldquo;Financings.&rdquo;\n\n \n\n \n\n \n\n \n\n8.Section 6.20 of the Merger Agreement (*Financing Activities*)\nis hereby amended and restated in its entirety to read as follows:\n\n \n\n(a)Parent Financing.\n\n \n\n(i)            Parent\nwill use reasonable best efforts to obtain the Financings (or in the event any portion or all of the Financings required for Parent to\npay the Required Amounts becomes unavailable, alternative debt financing from the same or other sources (such portion from sources other\nthan any source providing the Financings contemplated by the Debt Commitment Letters as of the date hereof, the &ldquo;**Alternate Financing**&rdquo;))\nin an aggregate amount, together with the remaining Financings, if any, and any other immediately available sources available to Parent\nto fund the payment of the Required Amounts when required to be paid hereunder. Such efforts by Parent shall include, without limitation:\n(A) complying with and maintaining in full force and effect the Debt Commitment Letters (subject to commitment reductions and/or\ntermination thereof in connection with the consummation of an alternative financing generating, when taken together with other sources\nof funds immediately available to Parent or Merger Sub, the Required Amounts at Closing), (B) negotiating and entering into definitive\nfinancing agreements (the &ldquo;**Definitive Debt Agreements**&rdquo;) with respect to the Financings or alternative financing generating,\nwhen taken together with any other funding sources available to Parent, the Required Amounts when required to be paid hereunder; provided,\nthat such Definitive Debt Agreements or alternative financing, as applicable, shall not (1) impose new or additional conditions\nor expand any existing condition to the receipt of the Financings, (2) otherwise materially delay funding of the Financings or make\nfunding of the Financings or alternative financing generating, when taken together with any other funding sources available to Parent,\nthe Required Amounts when required to be paid hereunder less likely to occur, or (3) adversely impact the ability of Parent to enforce\nits rights against the other parties to the Debt Commitment Letters or the Definitive Debt Agreements or alternative financing, as applicable\n(the effects described in clauses (1) through (3), collectively, the &ldquo;**Prohibited Modifications**&rdquo; and each individually,\na &ldquo;**Prohibited Modification**&rdquo;), (C) satisfying on a timely basis all conditions to the Financings contemplated\nby the Debt Commitment Letters and the Debt Financing Fee Letters, and (D) enforcing its rights under the Debt Commitment Letters\nin the event of a breach by the Financing Sources under the Debt Commitment Letters or any of the Definitive Debt Agreements or alternative\nfinancing, as applicable. Prior to the Closing, without the prior written consent of the Company, Parent shall not (x) agree to,\nor permit, any withdrawal, rescission, termination, amendment, restatement, supplement, modification or waiver in respect of the Debt\nCommitment Letters or any Definitive Debt Agreement that would result, when taken together with any other funding sources available to\nParent, in Parent failing to have the Required Amounts when required to be paid hereunder, or (y) agree to substitute other debt\nor equity financing for all or any portion of the Financings from the same or alternative financing sources to the extent such substitution\nwould result in a Prohibited Modification.\n\n \n\n \n\n \n\n \n\n(ii)            Parent\nshall keep the Company informed on a reasonable basis and in reasonable detail of the status of its efforts to arrange the Financings.\nParent shall give the Company prompt written notice (A) upon becoming aware of, or receiving written notice or other written communication\nwith respect to, (1) any actual, threatened (in writing) or alleged (in writing) material breach of or default under, or any event\nor circumstance that (with or without notice, lapse of time or both) could reasonably be expected to give rise to any material breach\nof or default under, the Debt Commitment Letters by a party thereto, (2) any actual or threatened (in writing) termination, withdrawal,\nrepudiation or rescission of the Debt Commitment Letters or any Definitive Debt Agreement, or (3) any material dispute or disagreement\nbetween or among parties to the Debt Commitment Letters or any Definitive Debt Agreement, in each case, to the extent such breach, default,\ntermination, withdrawal, repudiation, rescission, dispute or disagreement would reasonably be expected to materially delay or prevent\nthe Closing or result in failure of Parent to obtain, when taken together with any other funding sources available to Parent, the Required\nAmounts when required to be paid hereunder or (B) if at any time for any reason Parent believes in good faith that it may not be\nable to obtain all or any portion of the Financings on the terms and conditions, at the time, in the manner or from the sources contemplated\nby the Financings, except as a result of consummation of alternative financing transactions providing, when taken together with any other\nfunding sources available to Parent, the Required Amounts when required to be paid hereunder. Parent shall promptly provide any material\ninformation reasonably requested by the Company relating to any circumstance referred to in clauses (A) or (B) of the immediately\npreceding sentence; provided that in no event shall Parent be required to provide access to or disclose information that would jeopardize\nany attorney-client privilege of, or conflict with any confidentiality requirements applicable to, Parent or any of its Subsidiaries\n(as reasonably determined in good faith by Parent).\n\n \n\n(iii)            If\nany of the Financings or the Debt Commitment Letters (or any Definitive Debt Agreement) expires or is terminated prior to the Closing,\nin whole or in part, for any reason, or any portion of the Financings becomes unavailable on the terms and subject solely to the conditions\nset forth in the Debt Commitment Letters or any Definitive Debt Agreement shall be withdrawn, repudiated, terminated or rescinded (other\nthan as a result of any commitment reduction in connection with the consummation of alternative financing transactions providing, when\ntaken together with any other funding sources available to Parent, the Required Amounts at Closing), then Parent shall (A) promptly\nuse its reasonable best efforts to arrange for Alternate Financing (which Alternate Financing (1) shall be in an amount no less\nthan, when taken together with any other funding sources available to Parent, the Required Amounts and (2) shall not include conditions\nto such Alternate Financing that are more onerous than, taken as a whole, the conditions set forth in the Debt Commitment Letters on\nthe date of this Agreement (as reasonably determined in good faith by Parent) to replace the Financings, to be consummated no later than\nthe day on which the Closing shall occur pursuant to this Agreement), (B) provide to the Company copies of all documents (including\nall fee letters and commitment letters; provided that any fee and commitment letters may be redacted in a customary fashion as to economic\nterms and other commercially sensitive numbers and provisions specified in any such letter, none of which could adversely affect the\navailability, conditionality, enforceability or amount of the Financings contemplated thereby) relating to any alternative financing\nto replace the Financings and (C) keep the Company reasonably informed of the process of obtaining any Alternate Financing. If any\nAlternate Financing is obtained in accordance with this Section 6.20(a), Parent shall promptly notify the Company thereof\nand references to the &ldquo;Financings,&rdquo; &ldquo;Debt Commitment Letters&rdquo; and &ldquo;Debt Financing Fee Letters&rdquo; (and\nother like terms in this Agreement) shall include such Alternate Financing, as applicable.\n\n \n\n \n\n \n\n \n\n(iv)            Notwithstanding\nanything in this Agreement to the contrary, Parent and Merger Sub expressly acknowledge and agree that neither the availability nor terms\nof the Financings or any Alternate Financing are conditions to the obligations of Parent or Merger Sub to consummate the Merger, and\neach of Parent and Merger Sub reaffirms its obligation to consummate the Merger and the other Transactions subject only to the express\nconditions set forth herein, irrespective and independent of the availability or terms of the Financings or any Alternate Financing.\n\n \n\n(b)      Financing\nCollateral and Capacity. Parent shall be subject to the obligations set forth in Schedule 6.20(b) of the Parent Disclosure\nLetter.\n\n \n\n(c)      Financing\nCooperation.\n\n \n\nFrom the date of\nthis Agreement until the earlier of the Effective Time and such time as this Agreement is terminated in accordance with Article VIII,\nthe Company shall use its commercially reasonable efforts, and shall use its commercially reasonable efforts to cause each of its Subsidiaries\nand its and their respective Representatives to, provide to Parent such reasonable cooperation as may be reasonably requested by Parent\nin connection with the arrangement of the Financings or Alternate Financing, including:\n\n \n\n(i)            participating\nin, and causing appropriate members of senior management and other Representatives of the Company and its Subsidiaries (with appropriate\nseniority and expertise) to participate in, a reasonable number of meetings (which may be virtual or via teleconference) with prospective\nlenders, investors, rating agency presentations and due diligence sessions, in each case at mutually agreed times;\n\n \n\n(ii)            assisting\nParent in the preparation of customary marketing materials, including any confidential information memorandum, offering memorandum, or\nlender presentation to be used in connection with any syndication of the Financings;\n\n \n\n(iii)            furnishing\nParent and the Financing Sources with such customary financial and other information regarding the Company and its Subsidiaries as may\nbe reasonably requested in writing by Parent and that is necessary and customary in connection with the arrangement of financings of\na type similar to the Financings or Alternate Financing;\n\n \n\n(iv)            furnishing\nto the Administrative Agent and the Lead Arrangers (each as defined in the Bridge Commitment Letter), at least three Business Days prior\nto the Closing Date, (A) all documentation and other information about the Company and its Subsidiaries that the Administrative\nAgent and the Lead Arrangers reasonably determine is required by United States regulatory authorities under applicable &ldquo;know-your-customer&rdquo;\nand anti-money laundering rules and regulations, including the USA PATRIOT Act, to the extent reasonably requested in writing to\nthe Company not fewer than 10 Business Days prior to the Closing Date and (B) if the Company or any Subsidiary guarantor borrowing\nentity qualifies as a &ldquo;legal entity customer&rdquo; under 31 C.F.R. &sect; 1010.230 (the &ldquo;**Beneficial Ownership Regulation**&rdquo;),\na certification regarding beneficial ownership required by the Beneficial Ownership Regulation, to the extent reasonably requested in\nwriting at least 10 Business Days prior to the Closing Date;\n\n \n\n \n\n \n\n \n\n(v)            if\napplicable to the Transactions, (A) obtain customary consents (subject to customary limitations) of outside auditors of the Company\nand its Subsidiaries for use of their auditor opinions in any materials relating to an Alternate Financing or the Financings, (B) cause\nsuch outside auditors to partake in a reasonable number of reasonable and customary accounting and auditor due diligence sessions (which\nmay be virtual or via teleconference) at mutually agreed times and places, and (C) cause its outside auditors to provide any customary\n&ldquo;comfort letters&rdquo; with respect to the Company&rsquo;s financial statements in connection with any offering of debt securities\nbeing issued as part of an Alternate Financing or the Financings; and\n\n \n\n(vi)            reasonably\ncooperating with Parent in satisfying the conditions to the funding of the Financings or Alternate Financing to the extent the satisfaction\nof such conditions requires the cooperation of, or is within the primary control of, the Company and its Subsidiaries or any of their\ndirectors, officers, employees and Representatives.\n\n \n\n(d)            Nothing\nin Section 6.20(c) shall require the Company to take any action that would (i) unreasonably interfere with, or\nis unreasonably burdensome on, the ongoing business or operations of the Company or its Subsidiaries, (ii) require the Company or\nits Subsidiaries to pay any commitment or other fee or incur any other cost or expense, liability or obligation in connection with the\nFinancings prior to the Closing that is not promptly reimbursed or indemnified by Parent, (iii) require the Company or its Subsidiaries\nto take any action that is effective prior to, and not conditioned upon, the Closing, (iv) require the Company or its Subsidiaries\nto provide any information the disclosure of which would jeopardize any attorney-client or other legal privilege or violate any Contract\nor other obligation of confidentiality binding upon the Company or its Subsidiaries (provided that the Company shall use commercially\nreasonable efforts to provide such information in a manner that would not result in such jeopardy or violation), or (v) result in\na violation of applicable Law. Nothing in Section 6.20(c) shall require the Company or any of its Subsidiaries to deliver\nany certificate, opinion or document or take any corporate or other action on behalf of or binding upon the Company or its Subsidiaries\nthat would be effective prior to the Closing.\n\n \n\n(e)            Parent\nshall, upon request by the Company, promptly reimburse the Company for all reasonable and documented out-of-pocket costs, fees and expenses\nincurred by the Company or any of its Subsidiaries in connection with fulfilling its obligations pursuant to this Section 6.20.\nNotwithstanding anything herein to the contrary, Parent shall indemnify and hold harmless the Company and each of its Subsidiaries from\nand against any and all damages actually suffered or incurred by them in connection with actions taken or omitted to be taken pursuant\nto this Section 6.20, except in the event such loss or damage arises directly out of (i) the gross negligence or willful\nmisconduct of the Company or any of its Subsidiaries, (ii) the material breach of this Agreement thereby, or (iii) any material\nmisstatement or omission of a material fact in any information relating to the Company provided to Parent in writing by the Company for\ninclusion in any materials relating to the Financings.\n\n \n\n \n\n \n\n \n\n(f)            Notwithstanding\nanything to the contrary in this Agreement, the conditions set forth in Section 7.2(b), as they apply to the Company&rsquo;s\nobligations under this Section 6.20 shall be deemed satisfied on the Closing Date unless (i) the Company has failed\nto satisfy its obligations in any material respect under Section 6.20(c), (ii) Parent has provided notice to the Company\nof any such failure to comply in any material respect with Section 6.20(c) in writing in a reasonably sufficient period\nof time prior to the Closing Date to permit the Company a reasonable opportunity to cure such failure, (iii) the Company has failed\nto cure such failure, and (iv) such failure is the primary cause of Parent&rsquo;s inability to obtain the Financings.\n\n \n\n9.Section 8.2(b) of the Merger Agreement (*Notice of\nTermination;
