RISK FACTORS**\n\n \n\nThere have been no material changes from the\nrisk factors disclosed in our Form 10-K for the year ended December 31, 2025, except for the following:\n\n \n\n**We may engage in\nstrategic transactions that could disrupt our business, cause dilution to our stockholders or reduce our financial resources.**\n\n** **\n\nIn the future, we may\nenter into strategic transactions to acquire other businesses, products or technologies. If we do identify suitable candidates, we may\nnot be able to make such acquisitions on favorable terms, or at all. Any acquisitions we make may fail to strengthen our competitive position\nand these transactions may be viewed negatively by customers or investors. We may decide to incur debt in connection with an acquisition\nor issue our common stock or other equity securities to the stockholders of the acquired company, which would reduce the percentage ownership\nof our existing stockholders. We could incur losses resulting from undiscovered liabilities of the acquired business that are not covered\nby the indemnification we may obtain from the seller. In addition, we may not be able to successfully integrate the acquired personnel,\ntechnologies, and operations into our existing business in an effective, timely and non-disruptive manner. Strategic transactions may\nalso divert management attention from day-to-day responsibilities, increase our expenses and reduce our cash available for operations\nand other uses. We may also be subject to acquisition proposals from third parties. We cannot predict the number, timing or size of future\nstrategic transactions or the effect that any such transactions might have on our operating results."}
