Cherken, Jr., a director of the Company, adopted a Rule 10b5-1 trading arrangement for the sale of up to 38,820 common shares of the Company commencing July 17, 2026 and continuing through November 25, 2026, that was intended to satisfy the affirmative defense of Rule 10b5-1(c).\n\nAs previously disclosed, on March 2, 2026, Richard A. Hayne, Chief Executive Officer and Chairman of the Board of Directors, terminated a Rule 10b5-1 trading arrangement that was previously adopted on July 10, 2025. The trading arrangement was for the sale of up to 800,000 common shares of the Company commencing October 10, 2025 and continuing through October 9, 2026 that was intended to satisfy the affirmative defense of Rule 10b5-1(c).\n\nAs previously disclosed, on March 2, 2026, a trust of which Margaret A. Hayne, Co-President and Chief Creative Officer, and a director of the Company, is one of three trustees, terminated a Rule 10b5-1 trading arrangement that was previously adopted on July 10, 2025. The trading arrangement was for the sale of up to 700,000 common shares of the Company commencing October 10, 2025 and continuing through October 9, 2026 that was intended to satisfy the affirmative defense of Rule 10b5-1(c).\n\n27\n\n \n\nOther than as described above, during the fiscal quarter ended April 30, 2026, no other director or officer of the Company adopted or terminated a \"Rule 10b5-1 trading arrangement\" or a \"non-Rule 10b5-1 trading arrangement\" as each term is defined in Item 408(a) of Regulation S-K."}
