The Company had 8,627,191 shares of common stock outstanding on May 26, 2026, the record date for the Annual Meeting, of which 4,261,161 shares of common stock were present in person or represented by proxy at the Annual Meeting.\n\n \n\nThe following sets forth the final voting results of the five proposals voted upon at the Annual Meeting, each of which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on June 2, 2026 (the “Proxy Statement”).\n\n \n\n**Proposal 1**: The stockholders elected seven directors to serve until the next annual meeting of stockholders, and until each such director’s successor is duly elected and qualified, or until his or her earlier death, resignation or removal.
