The proposals are described in detail in the Company’s\ndefinitive proxy statement/prospectus filed on Form S-4 with the Securities and Exchange Commission (the “SEC”), most\nrecently amended on June 3, 2026 and declared effective on June 15, 2026 (as amended, the “Proxy Statement”) and\nfirst mailed to the Company’s stockholders on June 15, 2026. The final voting results regarding each proposal are set forth\nbelow.
