Mr. Glasbergen’s resignation was not the result of any disagreement with the Company on any\nmatter relating to the Company’s operations, policies or practices requiring disclosure under applicable securities laws.\n\n \n\nEffective\nJuly 1, 2026, the Board of Directors appointed Scott Gallagher to serve as Interim Chief Financial Officer and W. Scott McBride to serve\nas Interim Treasurer and Secretary.\n\n \n\n**Scott\nGallagher (age 59).**Mr. Gallagher has served as the Company’s President since 2022 and as Chairman and Chief Executive\nOfficer since 2024. He has previously served as chief financial officer of other publicly traded companies and is experienced in public\ncompany disclosure and reporting requirements. Mr. Gallagher will receive no additional compensation in connection with his appointment\nas Interim Chief Financial Officer. There are no family relationships between Mr. Gallagher and any director or executive officer of\nthe Company, no transactions involving Mr. Gallagher requiring disclosure under Item 404(a) of Regulation S-K, and no arrangements or\nunderstandings between Mr. Gallagher and any other person pursuant to which he was appointed to this position.\n\n \n\n**W.\nScott McBride (age 54).**Mr. McBride has served as a director of the Company since 2024. He holds a Master’s degree and\nhas previously served in the capacity of secretary and/or treasurer for other organizations. Mr. McBride will receive no additional compensation\nin connection with his appointment as Interim Treasurer and Secretary. Mr. McBride’s daughter, Marley McBride, provides research\nand development consulting services to the Company. There are no other arrangements or understandings between Mr. McBride and any other\nperson pursuant to which he was appointed to this position."}
