Witt announced his retirement from his position as Corporate Controller and Principal Accounting Officer of Worthington Steel, Inc. (the “Company”), effective June 23, 2026. Mr. Witt’s retirement is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including its accounting principles, practices or financial statement disclosures.\n\n \n\nAlso on June 23, 2026, the Board of Directors of the Company appointed Gwen Joseph as Corporate Controller and Principal Accounting Officer of the Company, effective June 23, 2026.\n\n \n\nMs. Joseph, 45, served as Director of External Reporting of the Company from December 2023 to June 2026 and, prior to that, served as Director of Internal Audit of Worthington Industries, Inc. (now known as Worthington Enterprises, Inc.) from March 2020 to December 2023. Ms. Joseph is a Certified Public Accountant and earned both a Bachelor of Science in Accounting and Finance and a Master’s degree in Accounting from Wright State University.\n\n \n\nIn connection with Ms. Joseph’s appointment, the Compensation Committee of the Board of Directors approved an annual base salary for Ms. Joseph of $255,000 and a target annual cash incentive equal to 50% of her annual base salary. The Compensation Committee also approved an equity award to Ms. Joseph with an aggregate grant date value of $200,000, consisting of restricted stock, performance shares, and performance cash under the Company’s 2023 Long-Term Incentive Plan. The number of shares subject to the equity award will be determined on the grant date in accordance with the terms of the 2023 Long-Term Incentive Plan and the Company’s applicable award agreements.\n\n \n\nThere are no arrangements or understandings between Ms. Joseph and any other person pursuant to which she was appointed as Corporate Controller and Principal Accounting Officer. There are no family relationships between Ms. Joseph and any director or executive officer of the Company, and Ms. Joseph has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K."}
