(the “Company”)\nheld its 2026 Annual Meeting of Stockholders (the “2026 Annual Meeting”). The Company’s stockholders voted on three\nproposals (each described in detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission\non April 29, 2026) at the 2026 Annual Meeting. Continental Stock Transfer and Trust Company, the independent inspector of election (the\n“Inspector of Election”) for the 2026 Annual Meeting, delivered its final vote tabulation on June 18, 2026 that certified\nthe final voting results for each of the matters that were submitted to a vote at the 2026 Annual Meeting. Set forth below are the final\nvoting results as provided by the Inspector of Election.\n\nEach stockholder of record was entitled to one vote\nper share of common stock on each proposal. On April 23, 2026, the record date for the 2026 Annual Meeting (the “Record Date”),\nthere were 152,437,434 shares of common stock outstanding.
