However, Nasdaq rules permit a foreign private issuer like us to follow the corporate governance\npractices of its home country. Certain corporate governance practices in the Cayman Islands, which is our home country, may differ significantly\nfrom the Nasdaq listing standards. We currently intend to follow Cayman Islands corporate governance practices in lieu of the corporate\ngovernance requirements of Nasdaq that listed companies must have a majority of independent directors. Currently, two out of eight\nmembers of our board of directors are independent directors, which do not constitute a majority. To the extent that we choose to follow\nhome country practice in the future, our shareholders may be afforded less protection than they otherwise would enjoy under the Nasdaq\nlisting standards applicable to U.S. domestic issuers. If we rely on these exemptions, you will not have the same protection afforded to shareholders of companies that are\nsubject to these corporate governance requirements.
